Sant Antoni as a Solvency Partner
The Club Náutico de Ibiza does not independently meet the €3.3 million minimum net-worth requirement established by the tender documents.
To satisfy that condition, it has relied on what the tender allows as the use of external economic and financial solvency.
The Club Náutico de Sant Antoni appears among the entities supporting that solvency.
The arrangement only becomes relevant if the Club Náutico de Ibiza wins the concession, meaning Sant Antoni is not currently taking on a €20 million debt or making a €20 million payment.

The tender establishes a minimum investment of around €20 million for the winning proposal, alongside other obligations that form part of the concession.

That is materially different from simply guaranteeing the €3.3 million minimum required to demonstrate solvency.

Under the mechanism used by the Club Náutico de Ibiza, an external entity supporting the bidder's financial solvency accepts responsibility jointly and severally with the bidder for the proper fulfilment of the administrative concession.
As interpreted in the latest report, this means the responsibility is not automatically limited to the proportion of solvency provided by each supporting entity.
In the event of a covered breach by the winning concessionaire, the Port Authority could potentially seek the corresponding amount from a supporting entity under the joint-liability mechanism.

The Commitment Is Conditional
An important distinction is that the Club Náutico de Sant Antoni is not currently liable for €20 million.
The commitment would only become relevant if the Club Náutico de Ibiza is awarded the concession and subsequently fails to comply with obligations covered by the guarantee.
If the concession is fulfilled correctly, the guarantee would not be called.
The €20 million figure should therefore be understood as the minimum investment associated with the bid and a reference point for the potential exposure described by the tender conditions, rather than as money that Sant Antoni has agreed to pay immediately.
Two Bids Remain
The Club Náutico de Ibiza is competing against Puertos y Litorales Sostenibles, the current operator of the marina.
Both submitted proposals contained documentation deficiencies that the tender committee identified during the opening of the administrative envelopes on September 9.
The two candidates were subsequently given a period to correct the outstanding documentation before the process moves forward.
A Previously Undisclosed Relationship
The role of the Sant Antoni club became public after the tender committee detected that a certificate confirming that one of the entities supporting the bidder's solvency was up to date with payments to the Autoridad Portuaria was missing.
That documentation identified the Club Náutico de Sant Antoni.
The extent of the relationship was not immediately explained publicly by either club.
La Voz de Ibiza subsequently reported that the Sant Antoni club had been incorporated into the Ibiza club's economic-solvency structure.
The latest report now argues that the arrangement has potentially much greater significance because of the joint-liability provisions in the tender.

The tender requires bidders to demonstrate a minimum net worth of €3.3 million.
The Club Náutico de Ibiza has therefore needed external support to meet the financial qualification.

At the same time, the Club Náutico de Ibiza is seeking to regain management of the marina after 99 years of operating the historic facility, before its concession ended.
The two clubs' agreement therefore links their interests in a competition that will determine who manages a major section of Ibiza's port for decades.

For now, the Club Náutico de Ibiza and Puertos y Litorales Sostenibles must first resolve the documentation issues identified by the tender committee.
